Purchase Order Acceptance
All purchase orders are subject to written acknowledgment and acceptance by Global Procurix LLC. By accepting delivery of the goods listed on the attached or associated invoice, the Buyer agrees to these Terms and Conditions.
Specification
Unless otherwise stated, all goods are manufactured to specifications outlined in Global Procurix LLC’s quotation and submittal materials, which represent the final agreement.
Performance
Products supplied meet performance standards applicable at Global Procurix LLC’s facilities in Florida, USA. Any additional costs required to meet performance standards in the Buyer’s location will be charged to the Buyer’s account.
Delays
Global Procurix LLC is not liable for delays beyond its reasonable control, including but not limited to war, strikes, vehicle loss, embargoes, late delivery of materials, or changes in specifications/instructions. The company reserves the right to charge for delays caused by undisclosed delivery requirements, site conditions, or restrictions that arise after quotation. If agreements are extended significantly in time or quantity, Global Procurix LLC may apply escalation based on federally published figures and accepted formulae.
FOB
Unless otherwise specified, all shipments are FOB (Free on Board) at the manufacturer’s facility. Freight charges will be added, including inbound freight from suppliers. Any alternative FOB terms must be agreed upon in writing by Global Procurix LLC.
Freight
Global Procurix LLC reserves the right to select carriers deemed most efficient. Any damage or loss during transit must be claimed directly against the carrier.
Hazardous Materials
The Buyer agrees to hold Global Procurix LLC harmless from any damages caused by hazardous materials found at the delivery site. Removal and disposal of such materials are the responsibility of others. Global Procurix LLC reserves the right to charge for any costs incurred due to handling or exposure to hazardous materials at Buyer’s premises or designated delivery sites.
Installation
Global Procurix LLC does not provide installation services. It is the Buyer’s responsibility to ensure proper installation of equipment in accordance with the manufacturer’s instructions.
Partial Delivery
Global Procurix LLC may fulfill orders through partial deliveries on different dates without penalty.
Claims
Claims regarding defective or damaged goods must be submitted in writing via e-mail to Global Procurix LLC within three (3) days of discovery. The Buyer is responsible for inspecting goods upon receipt, and any damage must be noted on the carrier’s bill of lading. Claims for shipping damage must be filed directly with the freight company. Global Procurix LLC is not responsible for such claims. Warranty claims and product returns require prior written approval from Global Procurix LLC.
Warranty
Products supplied by Global Procurix LLC are covered under the manufacturer’s warranty. Warranty claims must be made directly with the manufacturer.
Ownership
Ownership of goods supplied by Global Procurix LLC remains with the company until full payment has been received.
Invoicing
Invoices will be issued once goods are ready for shipment, regardless of whether delivery is delayed at the Buyer’s request. Payment obligations remain in effect, and goods may be stored at Global Procurix LLC’s warehouse or otherwise for up to 14 days at no charge. After this period, storage fees may apply.
Payment Terms & Methods
All invoices issued by Global Procurix LLC are payable upon receipt unless otherwise agreed in writing. Standard payment terms are Advance payment upon invoice issue. Any alternative payment terms must be agreed upon in writing by Global Procurix LLC prior to order acceptance. Payments may be made via bank transfer, credit card, or Paypal. Specific payment instructions will be included on each invoice. Buyer to pay the cost of all bank transfer fees, Intermediary fees or any credit card transaction fees.
Outstanding Accounts
Accounts not settled within the agreed payment terms will incur interest charges of up to 1.5% per month (equivalent to an annual rate of 18%).
Returned Payments
A fee of $35 will be applied to any returned payments due to insufficient funds or other reasons.
Currency
All invoices are issued and payable in USD unless otherwise specified.
Taxes and Dues
Applicable excise, sales, use, occupational, or other taxes imposed during the sale will be added to the purchase price. Federal, State, and Local sales and use taxes apply unless a valid Sales Tax Exemption Certificate is provided at the time of order.
Disputes and Adjustments
Any disputes or requests for adjustments must be submitted in writing within three (3) days of the invoice date. Failure to notify Global Procurix LLC within this timeframe will be deemed acceptance of the invoice as issued.
Liability
Global Procurix LLC shall not be liable for any consequential, incidental, or indirect damages arising from product performance or use. All applicable warranties are provided solely by the manufacturer, and any claims must be directed accordingly. The total liability of Global Procurix LLC, whether in contract, tort, or otherwise, for any claim related to the supply of goods or services shall be strictly limited to the purchase price of the goods or services supplied.
Arbitration
Any disputes arising from or related to this invoice shall be resolved through arbitration in Miami, Florida, in accordance with the commercial arbitration rules of the American Arbitration Association.
Governing Law
These terms and conditions are governed by and construed in accordance with the laws of the State of Florida. Any disputes arising under or in connection with these terms shall be resolved in the courts of Miami, Florida.
Amendments
Global Procurix LLC reserves the right to amend these terms and conditions at any time. Customers will be notified of any changes.
